The private equity/special situations group offers legal and strategic advice to private equity funds, hedge funds, family offices and other opportunistic investors targeting large/mid-cap investments in the DACH region, in particular on LBOs, MBOs, MBIs, PIPE and P2P transactions, venture capital investments, management participation programs and special situations. In the area of capital markets, we advise German and international issuers, banks and investors on IPOs, public offerings and private placements of securities, listings and delistings, changes of stock market segments, share repurchase programs, as well as on a broad range of capital markets compliance issues.
Our German finance team has extensive experience advising German and international banks, export and loan underwriters, financial institutions, companies, local authorities, investors and sponsors on domestic and cross-border finance transactions. Our IP team has extensive experience in the protection and enforcement of any kind of IP rights, with a focus on contentious work in the area of patent infringement. Moreover, the team advises on non-contentious IP matters, particularly in the areas of R&D projects, licensing, and distribution agreements. Our services include the ideal structuring of donations, wills, inheritance contracts, articles of association, prenuptial agreements as well as the preparation of corresponding tax declarations and defense of the chosen structure.
